This Non Disclosure Agreement (NDA) is entered into as of [Effective Date] to prevent unauthorized disclosure of confidential information shared by the Disclosing Party with the Receiving Party.
For the purposes of this Agreement, “Confidential Information” means any information that is proprietary to the Disclosing Party, disclosed in oral, written, or electronic form, including but not limited to trade secrets, business plans, financial data, customer information, and intellectual property.
The Receiving Party agrees to maintain the confidentiality of the Disclosing Party’s Confidential Information and shall not disclose it to any third parties without the express written consent of the Disclosing Party. The Receiving Party shall take reasonable measures to protect the Confidential Information.
Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this Agreement; (b) is disclosed to the Receiving Party by a third party without restriction; (c) is independently developed by the Receiving Party without the use of or reference to the Disclosing Party’s Confidential Information.

This Non Disclosure Agreement governs the disclosure of confidential information exchanged between the parties for the purpose of [Specify Purpose, e.g., evaluating a potential business relationship].
Confidential Information shall include all non-public information disclosed by the Disclosing Party, whether in writing, orally, or electronically, including prototypes, products, and any other proprietary information.
Both parties shall restrict access to Confidential Information to their employees, agents, or contractors on a need-to-know basis. The Receiving Party shall implement the same level of security protections for the Confidential Information as it uses to protect its own confidential information.
